ZAG-S&W’s Commercial Department provides legal services to companies engaged in commerce and retail, on a broad spectrum of commercial and regulatory issues, including:


Consumer law

Drafting trade agreements for retail chains (including consignment, concession, parallel import)

Drafting bylaws for promotions and supervising commercial raffles


Ongoing advice to large retail chains pertaining to conduct vis-à-vis consumers and suppliers


The firm’s retail practice is led by Adv. Yifat Nir-Katz, drawing on her extensive knowledge and experience in the retail and consumer market, having previously served as general counsel of a large retail group.


The Commercial Department operates in close cooperation with the various departments of the firm, including the Taxation Department, Real Estate Department, Litigation and Dispute Resolution Department and the Labor and Employment Law Department, to offer the full range of legal services to retail clients.



The Department provides ongoing legal advice and acts on behalf of retail chains in various areas, tailoring services to the particular needs of specialty retail chains (such as food and beverage, fashion, cosmetics and pharmaceuticals). We provide legal opinions, training and professional guidance on the actions required by each retailor, whether vis-à-vis the individual consumer or the regulatory authorities, including and particularly the Consumer Protection and Fair Trade Authority.


Customer Loyalty Programs:

In addition, our team provides ongoing advice and assistance in establishing and maintaining consumer loyalty programs, including registering databases with the Registrar of Databases, and guidelines pertaining to ways to contact and market to program members in compliance with the provisions of applicable law, including Section 30A of the Communications Law (Telecommunications and Broadcasting), known as the “Spam Law”.
